These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and:

By accessing or using the Adeeb Robotics website (adeebrobotics.com), downloading any software, or submitting any form, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the site or software.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Use of the Website

You may use this website for lawful purposes only. You agree not to:

Software provided by Adeeb Robotics, including the EtherCAT Master, Robot Controller, and any associated tools, is licensed — not sold — under the terms of the applicable license agreement included with each download. No ownership rights are transferred.

  • Community edition: licensed under the terms specified in the Community License Agreement
  • Professional and Enterprise editions: licensed under separate commercial agreements executed between Adeeb Robotics and the licensee

In the event of a conflict between these Terms and a software license agreement, the software license agreement governs with respect to that software.

5. Intellectual Property

All content on this website — including text, graphics, logos, product names, documentation, software, and source code — is the property of Adeeb Robotics or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, and trade secret law.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content without prior written permission from Adeeb Robotics, except as expressly permitted by an applicable software license agreement.

6. Product and Safety Disclaimers

Information on this website, including technical specifications, application descriptions, and performance data, is provided for general informational purposes only. It does not constitute professional engineering, safety, or integration advice.

  • All robotic systems must be installed, configured, and operated by qualified personnel in accordance with applicable safety standards (including ISO 10218, ISO 13849, IEC 62061, and local regulations)
  • Published specifications and performance figures are typical values and may vary based on configuration, environment, and application
  • You are solely responsible for conducting your own risk assessment and ensuring regulatory compliance for your specific application

Adeeb Robotics assumes no liability for damages resulting from reliance on website content for engineering, safety, or purchasing decisions without independent professional verification.

7. Export Compliance

Software and technical data available on this website may be subject to United States export control laws, including the Export Administration Regulations (EAR), and may also be subject to the export or import laws of other countries. You agree to comply with all applicable export and import laws and regulations.

You represent and warrant that:

  • You are not located in, or a national or resident of, any country subject to comprehensive US sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions)
  • You are not on any US government denied-party list, including the Specially Designated Nationals (SDN) list or the Entity List
  • You will not re-export or transfer any software or technical data to prohibited destinations, entities, or end-uses

8. Disclaimer of Warranties

THE WEBSITE, ALL CONTENT, AND ANY DOWNLOADABLE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.

Adeeb Robotics does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADEEB ROBOTICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THIS WEBSITE OR ANY SOFTWARE DOWNLOADED FROM IT, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, ADEEB ROBOTICS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ADEEB ROBOTICS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Adeeb Robotics and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the website or any software in violation of these Terms
  • Your violation of any applicable law or regulation, including export control laws
  • Your violation of any third-party rights, including intellectual property rights
  • Any content or data you submit through the website

13. Dispute Resolution

Governing law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles.

Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in Los Angeles County, California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Small claims exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdictional amount.

Equitable relief

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Force Majeure

Adeeb Robotics shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government actions, power failures, internet disruptions, or supplier failures.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will post the revised Terms on this page with updated "Last updated" and "Effective" dates. If you have an active software license with us, we will notify you of material changes via email at least 30 days before they take effect. Your continued use of the website after the effective date of any changes constitutes acceptance of the revised Terms.

16. General Provisions

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire agreement

These Terms, together with the Privacy Policy and any applicable software license agreements, constitute the entire agreement between you and Adeeb Robotics with respect to your use of the website. These Terms supersede any prior agreements or understandings, whether written or oral.

Waiver

The failure of Adeeb Robotics to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Adeeb Robotics.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Adeeb Robotics. Adeeb Robotics may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
